1. Acceptance of Terms
By accessing or using the Virtual Flea Markets platform ("Platform"), operated by Scolaro Services, Inc ("we", "us", "our", or "Company"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you must not use the Platform.
These Terms constitute a legally binding agreement between you and the Company. By creating an account, browsing listings, or participating in any marketplace activity, you acknowledge that you have read, understood, and agree to be bound by these Terms.
2. Description of Service
Virtual Flea Markets is an online marketplace platform that facilitates the buying and selling of board games and related items at gaming events and conventions. The Platform enables users to:
• List board games and related items for sale (fixed-price or auction)
• Browse and search available listings
• Make and receive offers on listed items
• Participate in auction-style listings
• Communicate with other users through discussions and offers
• Manage wishlists and watchlists
• Receive real-time notifications about marketplace activity
The Platform serves as a connection and negotiation tool only. We do not handle payments, shipping, or physical exchanges of items. All such arrangements are made directly between buyers and sellers.
3. Account Registration and Security
To use certain features of the Platform, you must create an account. When registering, you agree to:
• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Not share your account credentials with any third party
• Notify us immediately of any unauthorized use of your account
You are solely responsible for all activity that occurs under your account. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.
You may register using email and password, or through supported third-party authentication providers (Google, Facebook). Use of third-party authentication is subject to those providers’ own terms of service.
4. User Responsibilities and Conduct
As a user of the Platform, you agree to:
• Use the Platform lawfully and in accordance with these Terms
• Treat other users with respect and courtesy
• Provide honest and accurate information in all listings and communications
• Respond to offers and inquiries in a timely and good-faith manner
• Complete transactions you have committed to
• Respect the intellectual property rights of others
• Not attempt to circumvent any security measures or platform features
• Not use the Platform for any illegal or unauthorized purpose
5. Prohibited Activities
You agree not to engage in any of the following:
• Listing counterfeit, stolen, or pirated items
• Listing items you do not own or have the right to sell
• Providing false, misleading, or deceptive information in listings or communications
• Harassing, threatening, intimidating, or abusing other users
• Posting offensive, discriminatory, or inappropriate content
• Manipulating pricing, bids, or creating artificial marketplace activity
• Creating multiple accounts to circumvent restrictions or manipulate the platform
• Scraping, data mining, or using automated tools to access the Platform without authorization
• Attempting to interfere with or disrupt the Platform’s operation
• Sharing other users’ personal information without their consent
• Engaging in any form of fraud or scam
• Using the Platform to distribute spam or unsolicited communications
Violation of these prohibitions may result in immediate account suspension or permanent termination, at our sole discretion.
6. Listing and Selling
When listing items for sale on the Platform, sellers represent and warrant that:
• You have legal ownership of or authority to sell the listed item
• The item description, including condition, is accurate and not misleading
• All photos accurately represent the actual item being sold
• The listing complies with all applicable laws and regulations
• The item is not counterfeit, stolen, recalled, or otherwise prohibited
Sellers are responsible for setting appropriate prices, responding to offers in a reasonable timeframe, and honoring accepted offers. Listings may be in fixed-price or auction format, depending on the event’s configuration.
For auction listings, sellers agree to sell to the highest qualifying bidder when the auction closes. Bids are binding commitments to purchase at the bid amount.
7. Offers and Transactions
All offers made through the Platform are binding once accepted. Both buyers and sellers agree to complete accepted transactions in good faith.
Buyers agree to:
• Only make offers they intend to honor
• Arrange payment with the seller as agreed
• Communicate promptly regarding transaction details
Sellers agree to:
• Honor accepted offers at the agreed-upon price
• Make the item available as described
• Communicate promptly regarding transaction details
The Platform facilitates communication and agreement between parties but is not a party to any transaction. Disputes between buyers and sellers should be resolved directly between the parties. We may, at our discretion, assist in mediating disputes but are under no obligation to do so.
8. Event-Specific Terms
The Platform hosts marketplaces for specific events and conventions. Each event may have its own supplemental terms of service established by the event administrator. These event-specific terms may cover:
• Marketplace fees (e.g., a percentage of completed sales)
• Deadlines for reporting unclaimed items or failed transactions
• Invoice payment timelines and consequences of non-payment
• Event-specific rules and policies set by the event administrator
• Requirements for in-person meetups and item exchanges
Event-specific terms are presented when you join an event’s marketplace and are binding upon your acceptance. You must accept both these global Terms and any applicable event-specific terms to participate in an event’s marketplace.
Event administrators may update their event-specific terms. Material changes will be communicated to marketplace participants. Continued participation after such changes constitutes acceptance of the updated terms.
9. Intellectual Property
The Platform, including its design, code, features, and content (excluding user-generated content), is the property of Scolaro Services, Inc and is protected by applicable intellectual property laws.
By posting content on the Platform (listings, photos, comments), you grant us a non-exclusive, worldwide, royalty-free license to display, reproduce, and distribute that content in connection with operating the Platform. You retain ownership of your content.
Board game names, images, and metadata sourced from BoardGameGeek are used under fair use for informational purposes. All trademarks remain the property of their respective owners.
10. Privacy
Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the practices described in our Privacy Policy.
11. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
• The Platform will be uninterrupted, error-free, or secure
• Any defects will be corrected
• The information on the Platform is accurate, complete, or current
• Items listed are as described or that transactions will be completed
• The Platform will meet your specific requirements
We do not guarantee the identity, quality, or reliability of any user, listing, or transaction on the Platform.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SCOLARO SERVICES, INC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
• Loss of profits, revenue, or data
• Disputes between buyers and sellers
• Incomplete or failed transactions
• Misrepresented or defective items
• Unauthorized access to your account
• Any other matter relating to the Platform
Our total liability for any claims arising from your use of the Platform shall not exceed the amount you have paid to us (if any) in the twelve (12) months preceding the claim.
13. Indemnification
You agree to indemnify, defend, and hold harmless Scolaro Services, Inc and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Platform, your violation of these Terms, or your violation of any rights of another party.
14. Account Termination
We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that we determine, in our sole discretion:
• Violates these Terms or any applicable event-specific terms
• Is harmful to other users, third parties, or the Platform
• Involves fraudulent, abusive, or illegal activity
You may delete your account at any time through your account settings. For details on what data is deleted, what may be retained, and the retention timeline, see our Account Deletion page. Upon termination or deletion, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination will remain in effect.
15. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be resolved in the state or federal courts located in the State of Florida.
16. Modifications to Terms
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of the Platform after any changes constitutes your acceptance of the modified Terms. We recommend reviewing these Terms periodically. For material changes, we may provide additional notice through the Platform.
17. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
18. Entire Agreement
These Terms, together with our Privacy Policy and any applicable event-specific terms, constitute the entire agreement between you and Scolaro Services, Inc regarding your use of the Platform. These Terms supersede any prior agreements or understandings, whether written or oral.
